Welcome to ZH Express (“ZH Express,” “Company,” “we,” “us,” or “our”). These Terms & Conditions (“Terms”) govern your access to and use of the ZH Express website, including https://www.zhexpressllc.com, and any services, content, communications, forms, portals, or other functionality made available through the website (collectively, the “Website”). By accessing or using the Website, submitting information through our forms, requesting information about our services, or otherwise interacting with ZH Express through the Website, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms, please do not use the Website.

  1. About ZH Express: ZH Express provides healthcare administrative and business support services, which may include medical billing, revenue cycle support, insurance credentialing, provider enrollment, medical licensing support, prior authorization support, virtual administrative assistance, and related services. ZH Express is an administrative services company. Unless expressly stated otherwise in a written agreement, ZH Express is not a healthcare provider, physician, medical practice, hospital, health plan, insurer, or medical professional and does not independently provide medical diagnosis, treatment, medical advice, or emergency medical services. Nothing contained on the Website is intended to replace professional medical advice, diagnosis, or treatment.

  2. Acceptance of These Terms:  By using the Website, you represent that you are at least 18 years old or have reached the age of majority applicable to you, you have the legal capacity to enter into these Terms, you are using the Website for lawful purposes, any information you provide to ZH Express is accurate and truthful to the best of your knowledge, and you will comply with all applicable federal, state, and local laws and regulations when using the Website. If you are accessing the Website on behalf of a medical practice, organization, company, or other entity, you represent that you have authority to bind that entity to these Terms.

  3. Website Use: You may use the Website solely for legitimate business, informational, and service-related purposes. You agree not to use the Website for unlawful, fraudulent, deceptive, or abusive purposes, attempt to gain unauthorized access to the Website or its systems, interfere with the security, functionality, or operation of the Website, introduce malware, viruses, malicious code, or other harmful material, scrape, copy, reproduce, or systematically extract Website content without written permission, impersonate ZH Express or another person or organization, submit false, misleading, or fraudulent information, use our forms or communication channels to send unsolicited or unauthorized material, attempt to circumvent security measures, use the Website in a manner that could damage ZH Express, its customers, service providers, or other users, or use any information obtained through the Website for unlawful purposes. We reserve the right to suspend or restrict access to the Website when reasonably necessary to protect our systems, users, business, or legal interests.

  4. Services: Information about our services displayed on the Website is provided for general informational purposes. Specific services, pricing, scope of work, timelines, responsibilities, deliverables, payment terms, confidentiality requirements, and other commercial terms may be governed by a separate written agreement, service agreement, statement of work, or other contract between ZH Express and a client. If there is a conflict between these Website Terms and a separately executed written service agreement, the written service agreement will control with respect to the applicable client services. ZH Express does not guarantee that any particular credentialing, enrollment, licensing, authorization, claim, reimbursement, payer participation, or other administrative outcome will be approved or completed within a particular period. Payer requirements, governmental requirements, licensing requirements, processing times, documentation requirements, and insurance policies may change without notice.

  5. Medical Billing and Revenue Cycle Services: Where ZH Express provides medical billing or revenue cycle services, our responsibilities will be determined by the applicable client agreement. Services may include, depending on the engagement, claim preparation and submission, claim status follow-up, payment posting, denial follow-up, accounts receivable support, billing-related administrative support, payer communications, revenue-cycle reporting, and other agreed administrative services. The client remains responsible for the accuracy and completeness of clinical documentation, coding decisions unless expressly delegated under a written agreement, medical necessity determinations, patient information, provider information, and other information supplied to ZH Express. ZH Express does not guarantee payment by an insurance payer or government program.

  6. Credentialing, Enrollment, and Licensing: Credentialing, payer enrollment, recredentialing, and licensing services are administrative services. ZH Express may assist with documentation, application preparation, submission, tracking, follow-up, and communications as agreed with the client. Final decisions regarding credentialing, enrollment, network participation, licensing, reimbursement, or authorization are made by the applicable payer, governmental agency, licensing authority, or other third party. ZH Express cannot guarantee approval, acceptance, effective dates, network participation, reimbursement rates, or processing times. Clients are responsible for providing complete and accurate information and for notifying ZH Express of changes to professional licenses, addresses, tax identification information, NPI information, practice information, ownership, disciplinary matters, or other information relevant to credentialing or enrollment.

  7. Prior Authorization: Where prior authorization support is provided, ZH Express assists with administrative aspects of the authorization process based on information supplied by the client. Prior authorization decisions remain under the authority of the applicable payer or other authorized entity. ZH Express does not guarantee approval of any authorization request, coverage of a particular service, reimbursement, or payment.

  8. Client Responsibilities: Clients are responsible for providing accurate, complete, current, and timely information required for ZH Express to perform agreed services. Clients must promptly provide requested documentation and notify ZH Express of any changes that could affect the services being performed. ZH Express is not responsible for delays, errors, denials, rejected applications, missed deadlines, or other consequences caused by incomplete, inaccurate, outdated, or late information supplied by a client or third party.

  9. Fees and Payment: Fees for services are determined by the applicable pricing information, proposal, invoice, service agreement, or statement of work. Unless otherwise agreed in writing, invoices are due according to the payment terms stated on the applicable invoice or service agreement. Failure to pay amounts when due may result in suspension or termination of services. ZH Express reserves the right to charge reasonable fees, interest, or collection costs where permitted by applicable law and expressly provided for in the applicable agreement.

  10. Intellectual Property: All Website content, including but not limited to text, graphics, logos, photographs, videos, designs, page layouts, trademarks, service marks, icons, software, and other materials, is owned by or licensed to ZH Express unless otherwise stated. The ZH Express name, logo, branding, and related marks may not be copied, modified, reproduced, distributed, displayed, or used without prior written authorization. You may view and use the Website for its intended informational and business purposes. You may not reproduce substantial portions of the Website or create derivative works without written permission.

  11. Third-Party Services and Links: The Website may contain links to third-party websites, applications, software, payer portals, government websites, or other external resources. These third-party resources are provided for convenience. ZH Express does not control and is not responsible for the content, availability, security, privacy practices, policies, or practices of third-party websites. Your use of third-party services is subject to the terms and privacy policies of those third parties.

  12. Communications: By contacting ZH Express through the Website, you consent to receive communications reasonably necessary to respond to your inquiry or provide requested information. Depending on the communication method and your separate consent, communications may occur by email, telephone call, or SMS/text message. Marketing or promotional text messages will only be sent where the applicable consent and legal requirements have been satisfied. You are not required to consent to marketing text messages as a condition of purchasing services or submitting a general inquiry.

  13. SMS / Text Messaging Terms:The ZH Express messaging program may be used to provide customer care, respond to inquiries, provide requested business information, communicate regarding services, and, where separately and expressly authorized, send promotional or marketing messages. The specific messaging purpose may vary depending on the campaign for which you provide consent.

    • Consent: When you voluntarily provide your mobile telephone number and affirmatively opt in to receive SMS messages from ZH Express, you authorize ZH Express to send messages to that number for the specific messaging program or campaign for which you provided consent. SMS consent is not a condition of purchasing any ZH Express service or completing a non-SMS transaction. Consent to one messaging campaign does not automatically constitute consent to receive messages from another campaign or for another purpose. Consent is not transferable or assignable.

    • Message Frequency: Message frequency varies depending on the messaging program and your interactions with ZH Express. Some programs may send recurring messages, while other communications may be triggered by a customer inquiry, service interaction, or other event.

    • Message and Data Rates: Message and data rates may apply. Your mobile carrier may charge you for text messages or data according to your wireless plan. ZH Express is not responsible for carrier charges.

    • Opting Out: To stop receiving SMS messages from a ZH Express messaging program, reply STOP to the message you received. After receiving a valid opt-out request, ZH Express will process the request in accordance with applicable requirements and will not send further messages from the applicable messaging program except as permitted by law, including a limited confirmation message where applicable. You may also use other supported opt-out instructions provided in the applicable messaging program.

    • Help: For help, reply HELP to the message you received or contact ZH Express at [support phone number] or [support email address].

    • Supported Opt-Out Keywords: Depending on the messaging platform, supported opt-out keywords may include STOP, UNSUBSCRIBE, END, QUIT, CANCEL, or equivalent supported opt-out commands.

    • Carrier Disclaimer: Carriers are not liable for delayed or undelivered messages. Message delivery may be affected by factors outside ZH Express's control, including carrier networks, wireless coverage, device limitations, network congestion, and other technical circumstances.

    • Changes to Mobile Numbers: You agree to provide accurate contact information and to notify ZH Express if you change or relinquish a mobile telephone number previously used to provide SMS consent. You should not provide a telephone number belonging to another person without authorization.

  14. Privacy: Your use of the Website is also governed by the ZH Express Privacy Policy. The Privacy Policy describes how ZH Express collects, uses, protects, and discloses information. Where ZH Express performs services involving protected health information (“PHI”) on behalf of a covered entity or business associate, the parties may enter into a separate Business Associate Agreement (“BAA”) where required by applicable law. The Website Terms do not replace or modify any applicable BAA.

  15. HIPAA and Protected Health Information: ZH Express may provide services that, depending on the engagement, involve access to protected health information. Where HIPAA applies, ZH Express will handle PHI in accordance with applicable contractual obligations, including applicable Business Associate Agreements, and applicable federal privacy and security requirements. Do not submit medical records, diagnoses, treatment information, Social Security numbers, insurance information, or other sensitive patient information through a general Website contact form unless ZH Express has specifically instructed you to do so through an appropriate secure channel. General Website forms and ordinary email may not be appropriate for transmitting sensitive information.

  16. Security: ZH Express uses reasonable administrative, technical, and organizational safeguards appropriate to the nature of information handled through its Website and services. However, no website, electronic transmission, communication system, or storage environment can be guaranteed to be completely secure. You acknowledge that electronic communications may involve risks beyond ZH Express's reasonable control.

  17. Disclaimers: To the fullest extent permitted by applicable law, the Website and its content are provided on an “as available” and “as is” basis. ZH Express does not warrant that the Website will always be available, the Website will be uninterrupted or error-free, website content will always be current or complete, any service will produce a particular financial, credentialing, licensing, reimbursement, or operational result, any payer, government agency, or licensing authority will approve an application, or third-party systems will remain available or function without interruption. Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded under applicable law.

  18. Limitation of Liability: To the fullest extent permitted by applicable law, ZH Express and its owners, officers, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to your use of the Website or services, including loss of profits, revenue, business opportunities, data, or goodwill. Where permitted by applicable law, ZH Express's aggregate liability arising from Website use will not exceed the amount paid by the applicable client to ZH Express for the specific services giving rise to the claim during the twelve months preceding the event giving rise to the claim. This limitation does not apply where prohibited by law.

  19. Indemnification: To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless ZH Express and its owners, officers, employees, contractors, affiliates, and service providers from claims, liabilities, damages, losses, costs, and expenses arising from your violation of these Terms, your unlawful use of the Website, information you provide to ZH Express that is inaccurate or unauthorized, your violation of a third party's rights, or your violation of applicable laws or regulations.

  20. Termination: ZH Express may suspend or terminate your access to the Website at any time where reasonably necessary to protect the Website, its users, or its legal or business interests. Termination of Website access does not automatically terminate a separate service agreement unless the applicable service agreement provides otherwise.

  21. Governing Law: These Terms will be governed by the laws of the State of Texas, without regard to its conflict-of-law principles, except to the extent federal law or another mandatory applicable law controls. Any dispute will be handled in the courts or dispute-resolution forum specified in the applicable service agreement or, where no such agreement exists, in a court of competent jurisdiction located in Texas, subject to applicable law.

  22. Changes to These Terms: ZH Express may modify these Terms from time to time. Updated Terms will be posted on the Website with a revised “Last Updated” date. Your continued use of the Website after changes become effective constitutes acceptance of the updated Terms to the extent permitted by law.

  23. Severability: If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in effect.

  24. Entire Agreement: These Terms, together with the Privacy Policy and any applicable written service agreement, constitute the agreement governing your use of the Website and supersede prior Website-related representations concerning the subject matter addressed herein.
